General terms and conditions of fairconcept GmbH, Munich.
(1)These general terms and conditions (GTC) apply to all contracts between fairconcept GmbH, Munich (hereinafter "fairconcept") and entrepreneurs within the meaning of § 14 BGB (German Civil Code).
(2)Consumers within the meaning of § 13 BGB are excluded from concluding contracts.
(3)These GTC apply to all consulting, strategy, agency and coaching services, regardless of their designation.
(4)Deviating terms of the client apply only if fairconcept expressly agrees to them in writing.

(2)The specific scope of services results exclusively from the respective offer or contract.
(3)Unless expressly agreed, fairconcept does not owe any production, construction, programming or operational implementation services.
(1)fairconcept's services are consulting and development services.
(2)fairconcept does not owe any specific economic success.
(3)The implementation of the developed concepts and strategies is generally the responsibility of the client, unless expressly agreed otherwise.
(4)Recommendations, assessments and analyses do not constitute legal or tax advice.
(1)The client undertakes to provide all information required for the provision of services completely, correctly and in good time.
(2)Delays or additional work due to insufficient cooperation extend agreed deadlines appropriately.
(3)Decisions made by the client are deemed binding. Changes may cause additional work.
(1)The prices agreed in the respective offer apply.
(2)Unless agreed otherwise, the remuneration is due before the start of the service.
(3)fairconcept is entitled to suspend services until payment has been received in full.
(4)All prices are net plus statutory VAT.
(1)In the course of providing services, fairconcept uses digital tools and AI-supported systems.
(2)They are used to analyse, structure, generate or reflect on content.
(3)AI systems work probabilistically. No guarantee is given for the complete factual accuracy, completeness or legal admissibility of the generated content.
(4)The final assessment of and decision on the use of results lies with the client.
(5)Personal data is processed only to the extent permitted under data protection law.
(1)Webinars, workshops and coaching formats serve the structured transfer of knowledge and support for decisions.
(2)They do not replace individual legal, tax or specialist advice.
(3)Technical disruptions outside fairconcept's sphere of influence do not give rise to any liability.
(1)All concepts, models, frameworks, methods, texts and system logics developed by fairconcept are protected by copyright.
(2)The client receives a simple, non-transferable right of use for internal use.
(3)Any passing on, reproduction or publication requires written consent.
(4)The underlying methods, systems and thinking models remain the property of fairconcept.
(1)fairconcept is liable without limitation in cases of intent and gross negligence.
(2)In cases of simple negligence, fairconcept is liable only for the breach of material contractual obligations (cardinal obligations).
(3)Liability is limited in amount to the respective project volume.
(4)Liability for indirect damage, lost profit, loss of revenue or failure to achieve economic success is excluded.
Both parties undertake to treat all non-publicly available information as confidential.
(1)Individual projects end with the provision of the agreed service.
(2)Ongoing consulting or support formats may be terminated with 14 days' notice to the end of the month, unless agreed otherwise.
(3)Services already provided remain subject to remuneration.
(1)German law applies exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
(2)The place of jurisdiction for all disputes is Munich.
(3)This also applies to clients domiciled in other EU countries.
